Separate aviation activities
The Phoenix group provides aircraft-asset management, holds an ownership interest in an aircraft, and offers ownership interests to individuals and businesses through a joint-ownership arrangement. These owner services are distinct from Phoenix Aviation Charters, LLC’s brokerage of flights operated by third-party Part 135 carriers.
The specific Phoenix entity, aircraft-owning entity, and owners involved must be identified in the applicable documents. A group name on a website does not substitute for identifying the parties to an ownership or management agreement.
Management services
For the jointly owned aircraft, the ownership group’s agreement appoints Phoenix as its management party. The described services include sourcing pilots and coordinating aircraft use and related owner arrangements. Phoenix also provides management services for other aircraft assets under separate agreements.
The management agreement should specify the scope of scheduling, maintenance coordination, record administration, budgeting, expense allocation, vendor engagement, and other services actually authorized. This draft does not create authority to incur expenses, sign contracts, or act for an owner beyond that agreement.
Ownership interests and use
Phoenix describes its current structure as joint ownership, not a Part 91 Subpart K fractional ownership program. A fractional economic interest in an aircraft is not, by itself, a determination of the regulatory classification of the arrangement. The actual structure and operation, including any exchange arrangements, must support the applicable operating basis.
An ownership interest is not a charter ticket or an assurance of unlimited flight access. The executed purchase, joint-ownership or entity operating agreement, and management agreement govern the interest purchased, scheduling rights, contributions, fixed and variable expenses, reserves, maintenance downtime, transfers, defaults, and exit arrangements. No uniform allocation formula or guaranteed resale value is established by this website.
Pilot sourcing and coordination
Phoenix may source pilots and coordinate availability for the ownership group as described in its management engagement. The applicable documents and actual practices must identify who engages the pilots, verifies their qualifications, authorizes a flight, and pays for their services. Pilots must satisfy the qualifications and requirements applicable to the operation.
Administrative coordination and pilot sourcing do not alone determine operational control. Responsibility for initiating, conducting, and terminating each flight must be assigned and exercised consistently with applicable law. Nothing in this page changes a pilot in command’s safety responsibilities or permits an otherwise unauthorized operation.
Agreements, costs, and decisions
Before purchasing an interest or engaging management services, review the aircraft and ownership records, insurance arrangements, scope of management authority, scheduling and dispute rules, budget and reserve obligations, and any restrictions on personal or business use. The parties should obtain advice appropriate to their legal, tax, insurance, and financial circumstances.
A website comparison, projected hourly cost, or anticipated certificate acquisition does not guarantee a tax result, investment return, aircraft availability, regulatory approval, or future commercial use. A future change to operating authority or service model requires updated agreements and appropriate approvals.
Owner information
Management and ownership involve information beyond a typical charter inquiry, including ownership and authority records, contact details, schedules, operating costs, and coordination with pilots and vendors. The owner and management data notice describes the associated privacy considerations.
Before adoption
- Confirm which legal entity owns the interest and which entity is appointed manager; review the actual operating and management agreements.
- Aviation counsel should evaluate the factual operating structure, Part 91 applicability, any 91.501 basis and aircraft limitations, Part 91K criteria, pilot engagement, compensation, and operational control. This draft is not a determination that certification is unnecessary.
- Document ownership percentages, purchase/exit economics, management fees, reserves, scheduling rules, insurance, and contract-specific remedies before preparing executable agreements.
